Notice of Filing of an Application for a License to operate as a 
Small Business Investment Company

    Notice is hereby given of the filing of an application with the 
Small Business Administration (SBA) pursuant to Sec. 107.102 of the 
regulations governing small business investment companies (13 CFR 
107.102 (1995)) by Blue Rock Capital, L.P. at 511 Twaddell Mill Road, 
Wilmington, Delaware 19807-1233 for a license to operate as a small 
business investment company (SBIC) under the Small Business Investment 
Act of 1958, as amended, (15 U.S.C. et. seq.), and the Rules and 
Regulations promulgated thereunder.
    The Applicant, Blue Rock Capital, L.P., will be organized as a 
Delaware limited partnership and its principal area of operation will 
be the Mid-Atlantic area and the Northeastern United States. Blue Rock 
Partners, L.P. will be the Applicant's General Partner and the General 
Partner of Blue Rock Partners, L.P. will be Blue Rock, Inc., a Delaware 
corporation which is owned by Ms. Virginia G. Bonker and Mr. Terry 
Collison. The Board of Directors of the Applicant's Corporate General 
Partner consists of Ms. Bonker, Mr. Collison and Mr. Frederick J. 
Beste, III. BRC Management Corporation (the ``Management Company'') 
will provide management services to Blue Rock Capital, L.P. Ms. Bonker 
and Mr. Collison will work full time for the Management Company. None 
of the Applicant's limited partners will own 10 percent or more of the 
Applicant.
    The Applicant will begin operations with Regulatory Capital of $9.8 
million and make early-stage equity investments in privately-held 
companies with high growth potential in the Mid- Atlantic region. The 
Applicant will consider investments in small business which focus on 
information technology, business services, software, and other 
specialized proprietary technologies.
    Matters involved in SBA's consideration of the application include 
the general business reputation and character of the proposed owners 
and management, and the probability of successful operations of the new 
company under their management, including profitability and financial 
soundness in accordance with the Act and Regulations.
    Notice is hereby given that any person may, not later than 15 days 
from the date of publication of this Notice, submit written comments on 
the proposed SBIC to the Associate Administrator for Investment, Small 
Business Administration, 409 3rd Street, SW, Washington, DC 20416.
    A copy of this Notice will be published in a newspaper of general 
circulation in Wilmington, Delaware.
