    Notice is hereby given that pursuant to the Paperwork Reduction Act 
of 1995 (44 U.S.C. 3501 et seq.), the Securities and Exchange 
Commission (``Commission'') has submitted to the Office of Management 
and Budget a request for approval of revisions to Form 8-K.
    Form 8-K is used to report periodically current events by publicly 
reporting issuers under Section 13 or 15(d) of the Securities Exchange 
Act of 1934. the information is needed to enable investors to make 
informed investment decisions. Public companies are the likely 
respondents. It is estimated that 11,400 forms would be filed annually, 
resulting in an estimated annual total burden of 59,500 hours.
    General comments regarding the estimated burden hours should be 
directed to the Desk Officer for the Securities and Exchange Commission 
at the address below. Any comments concerning the accuracy of the 
estimated average burden hours for compliance with Commission rules and
