(``MSCGI'') on March 25, 1997, tendered for filing a request that the Commission approve a disposition of facilities and/or grant any other authorization the Commission may deem to be needed under Section 203 of the Federal Power Act as a result of the forthcoming merger between Morgan Stanley Group Inc. (``MS''), MSCGI's parent, and Dean Witter, Discover & Co. (``DWD&Co.''). Take notice that MSCGI on March 25, 1997, also tendered for filing a request for a declaratory order disclaiming jurisdiction over the merger of MSCGI's parent, MS, with DWD&Co. under Section 203 of the Federal Power Act. MSCGI requests expedition and an order disclaiming jurisdiction by May 1, 1997. Any person desiring to be heard or to protest said filing should file a motion to intervene or protest with the Federal Regulatory Commission, 888 First Street, NE., Washington, DC 20426, in accordance with Rules 211 and 214 of the Commission's Rules of Practice and Procedure (18 CFR 385.211 and 18 CFR 385.214).
