Montaup Electric Company; Notice of Filing

May 5, 1997.
    Take notice that on April 14, 1997, Montaup Electric Company 
(Montaup) filed an executed letter agreement concerning Montaup's 
transmission service to MASSPOWER and Pittsfield Generating Company 
under the two alternatives proposed by the NEPOOL Participants in 
filing the Restated NEPOOL Agreement and NEPOOL transmission tariff: 
(1) Alternate A, under which Excepted Transactions will terminate after 
a five-year transition period and (2) Alternate B, which allows 
Excepted Transactions to continue in effect.
    The letter agreement provides for a rate of $8 per kW/year to be 
effective subject to refund on March 1, 1997. Montaup requests waiver 
of the notice requirement in order to permit the $8 per kW/year rate to 
become effective subject to refund on March 1, 1997.
    Any person desiring to be heard or to protest said filing should 
file a motion to intervene or protest with the Federal Energy 
Regulatory Commission, 888 First, N.E., Washington, D.C. 20426, in 
accordance with Rules 211 or 214 of the Commission's Rules of Practice 
and Procedure (18 CFR 385.211 or 18 CFR 385.214). All such motions or 
protests should be filed on or before May 15, 1997. Protests filed with 
the Commission will be considered by it in determining the appropriate 
action to be taken but will not serve to make the protestants parties 
to the proceeding. Any person wishing to become a party must file a 
motion to intervene. Copies of this filing are on file with the 
Commission and are available for public inspection.
