SUMMARY OF APPLICATION: Applicant requests an order declaring that it 
has ceased to be an investment company.

amendment thereto on June 13, 1997.

HEARING OR NOTIFICATION OF HEARING: An order granting the application 
will be issued unless the SEC orders a hearing. Interested persons may 
request a hearing by writing to the SEC's Secretary and serving 
applicant with a copy of the request, personally or by mail. Hearing 
requests should be received by the SEC by 5:30 p.m. on July 11, 1997, 
and should be accompanied by proof of service on the applicant, in the

Applicant's Representations

    1. Applicant is a closed-end, non-diversified management investment 
company organized as a limited partnership under the laws of the State 
of Delaware. SEC records indicate that on June 17, 1987, applicant 
filed a notification of registration on Form N-8A pursuant to section 
8(a) of the Act.
    2. Applicant abandoned its intention to operate before it received 
any assets. Applicant never issued securities.
    3. Applicant does not have securityholders, debts, liabilities or 
assets. Applicant is not a party to any litigation or administrative 
proceeding.
    4. Applicant is not engaged, nor does it propose to engage, in any 
business

activities other than those necessary for the winding up of its 
affairs.
