Consumers Energy Company; Notice of Filing

January 9, 1998.
    Take notice that on December 22, 1997, Consumers Energy Company 
tendered what it described as an offer of settlement in Docket No. 
ER97-1510-000. The Commission is treating this filing as a new and 
distinct filing, and has therefore assigned a new docket number, ER98-
1305-000, to it. Consumers Energy Company describes its filing as 
resolving issues arising from Consumers' earlier filing of unexecuted 
agreements related to Network Integration Transmission Service.
    Any person desiring to be heard or to protest said filing should 
file a motion to intervene or protest with the Federal Energy 
Regulatory Commission, 888 First Street, N.E., Washington, D.C. 20426, 
in accordance with Rules 211 and 214 of the Commission's Rules of 
Practice and Procedure (18 CFR 385.211 and 18 CFR 385.214). All such 
motions or protests should be filed on or before January 20, 1998. 
Protests will be considered by the Commission in determining the 
appropriate action to be taken, but will not serve to make protestants 
parties to the proceeding. Any person wishing to become a party must 
file a motion to intervene. Copies of this filing are on file with the 
Commission and are available for public inspection.
