Consumers Energy Company; Notice of Amendment of Application

January 21, 1998.
    Take notice that on January 15, 1998, Consumers Energy Company 
filed an amendment to its original application in this proceeding. The 
amendment seeks authorization to issue up to $475 million of first 
mortgage bonds for the sole purpose of serving as security for long-
term refunding notes authorized in this docket. The first mortgage 
bonds would not themselves be a source of funds for Consumers, nor 
would they increase Consumers' total indebtedness. Consumers also 
requested waivers of the Commission's competitive bid and negotiated 
placement requirements for certain securities to be issued pursuant to 
authorization granted in this docket.
    Any person desiring to be heard or to protest said filing should 
file a motion to intervene or protest with the Federal Energy 
Regulatory Commission, 888 First Street, N.E., Washington, D.C. 20426, 
in accordance with Rules 211

and 214 of the Commission's Rules of Practice and Procedure (18 CFR 
385.211 and 385.214). All such motions or protests should be filed on 
or before January 29, 1998. Protests will be considered by the 
Commission in determining the appropriate action to be taken, but will 
not serve to make the Protestants parties to the proceeding. Any person 
wishing to become a party must file a motion to intervene. Copies of 
this filing are on file with the Commission and are available for 
public inspection.
