MDU Resources Group, Inc.; Notice of Filing

February 23, 1998.
    Take notice that on February 19, 1998, MDU Resources Group, Inc. 
(MDU Resources), a corporation organized under the laws of the State of 
Delaware and qualified to transact business in the States of Montana, 
North Dakota, South Dakota, and Wyoming, with its principal business 
office at Bismarck, North Dakota, filed an application with the Federal 
Energy Regulatory Commission, pursuant to Section 204 of the Federal 
Power Act (Act), seeking an Order (a) authorizing the issuance of up to 
$200,000,000 worth of Common Stock, par value $3.33 (the Common Stock), 
and (b) exempting MDU Resources from the competitive bidding 
requirements and the negotiated placement requirements of the Act if 
Common Stock is issued directly to a seller or sellers of a business 
and/or its assets as consideration for the acquisition of such business 
and/or assets.
    The securities are proposed to be issued from time to time over a 
two-year period.
    Any person desiring to be heard or to protest said filing should 
file a motion to intervene or protest with the Federal Energy 
Regulatory Commission, 888 First Street, N.E., Washington, D.C. 20426, 
in accordance with Rules 211 and 214 of the Commission's Rules of 
Practice and Procedure (18 CFR 385.211 and 18 CFR 385.214). All motions 
or protests should be filed on or before March 23, 1998. Protests will 
be considered by the Commission in determining the appropriate action 
to be taken, but will not serve to make protestants parties to the 
proceeding. Any person wishing to become a party must file a motion to 
intervene. Copies of this filing are on file with the Commission and 
are available for public inspection.
