Sunshine Act Meeting

    Notice is hereby given, pursuant to the provisions of the 
Government in the Sunshine Act, Pub. L. 94-409, that the Securities and 
Exchange Commission will hold the following open meeting during the 
week of April 13, 1998.
    An open meeting will be held on Thursday, April 16, 1998, at 10:15 
a.m.
    The subject matter of the open meeting scheduled for Thursday, 
April 16, 1998, at 10:15 a.m., will be: The Commission will consider a 
proposal regarding the regulation of alternative trading systems under 
the Securities Exchange Act. In addition, the Commission will consider 
proposed Rule 19b-5 and amendments to Rule 19b-4, under the Securities 
Exchange Act, that address the rule filing requirements for self-
