Tennessee Gas Pipeline Co.; Compliance Filing

May 27, 1999.
    Take notice that on May 17, 1999, Tennessee Gas Pipeline Company 
(Tennessee), tendered for filing as part of its FERC Gas Tariff, Fifth 
Revised Volume No. 1, a Fifth Revised Sheet No. 181. Tennessee also 
tendered for filing and acceptance: (1) A Firm Natural Gas 
Transportation Agreement dated May 1, 1999, between Tennessee and USGen 
New England, Inc. (USGenNE) for 53,000 Dth/day of transportation 
service under Rate Schedule NET; and (2) a

Termination Agreement dated May 1, 1999, between Tennessee and New 
England Power Company (NEPCO) terminating 53,000 Dth/day of 
transportation service under Rate Schedule NET.
    Tennessee states that this filing is in compliance with the 
Commission's March 11, 1999 order issued in Docket Nos. CP98-739-000 
and CP99-90-000. Tennessee explains that, through this filing it seeks 
to implement the assumption by USGenNE of NEPCO's rights and 
obligations for 53,000 Dth/day of transportation service under Rate 
Schedule NET, as authorized in the March 11 order. Tennessee requests 
an effective date of May 1, 1999.
    Any person desiring to be heard or to make any protest with 
reference to said filing should on or before June 11, 1999, file with 
the Federal Energy Regulatory Commission, 888 First Street, NE., 
Washington, DC 20426, a motion to intervene or a protest in accordance 
with the requirements of the Commission's rules of practice and 
procedure (18 CFR 385.214 or 385.211) and the regulations under the 
Natural Gas Act (18 CFR 157.10). All protests filed with the Commission 
will be considered by it in determining the appropriate action to be 
taken but will not serve to make the protestants parties to the 
proceeding. Any person wishing to become a party to a proceeding or to 
participate as a party in any hearing therein must file a motion to 
intervene in accordance with the Commission's rules. Copies of this 
filing are on file with the Commission and are available for public 
inspection.
