Tennessee Gas Pipeline Co.; Negotiated Rate Filing

May 27, 1999.
    Take notice that on May 24, 1999, Tennessee Gas Pipeline Company 
(Tennessee) tendered for filing a Negotiated Rate Arrangement. 
Tennessee requests that the Commission approve the Negotiated Rate 
Arrangement effective June 1, 1999.
    Tennessee states that the filed Negotiated Rate Arrangement 
reflects a negotiated rate between Tennessee and Exxon Corporation 
(Exxon) for transportation under Rate Schedule FT-A beginning the later 
of June 1, 1999 or the in-service date of the Venice Interconnect 
(Tennessee's Meter Number 012516) for a twenty-four month period.
    Any person desiring to protest said filing should file a protest 
with the Federal Energy Regulatory Commission, 888 First Street, NE., 
Washington, DC 20426, in accordance with Sec. 385.211 of the 
Commission's rules and regulations. All such protests must be filed on 
or before June 3, 1999. Protests will be considered by the Commission 
in determining the appropriate action to be taken, but will not serve 
to make protestants parties to the proceedings. Copies of this filing 
are on file with the Commission and are available for public inspection 
in the Public Reference Room. This filing may be viewed on the web at
