REPORT AND RECOMMENDATION: is the RECOMMENDATION of the Magistrate Judge that: (1) Wildfire's 64 motion for partial summary judgment be GRANTED IN PART inasmuch as it requests a declaration of the parties' rights and duties under the Trust Agreement for the purpose of determining whether Prime is required to authorize Wildfire's request for distribution of trust assets, (2) Wildfire's motion for partial summary judgment is otherwise due to be DENIED; and (3) Prime's 67 motion for summary judgment be GRANTED and summary judgment be entered in Prime's favor on all claims. Having determined that Wildfire is not entitled to any relief, other than the aforementioned declaration, which was not resolved in Wildfire's favor, the court does not reach Wildfires remedies, demand for attorneys' fees, costs, and payment of prejudgment interest. JUDGMENT: This matter is before the court on defendant Prime Insurance Companys motion for voluntary dismissal of its counterclaim without prejudice, which motion is contained in defendants response (doc. no. 82) to the United States Magistrate Judges show-cause order (doc. no. 80). It is ORDERED, ADJUDGED, and DECREED that the motion for voluntary dismissal of the counterclaim (doc. no. 82) is granted and that the counterclaim (doc. no. 32) is dismissed in its entirety without prejudice, pursuant to Fed. R. Civ. P. 41(a)(2). The clerk of the court is DIRECTED to enter this document on the civil docket as a final judgment pursuant to Rule 58 of the Federal Rules of Civil Procedure. JUDGMENT: it is the ORDER, JUDGMENT, and DECREE of the court as follows: (1) The United States Magistrate Judge's 79 recommendation is adopted. (2) Plaintiff Wildfire Group LLC's 64 motion for partial summary judgment is granted to the extent that the following declaratory judgment is entered: It is DECLARED that the trust agreement between the parties does not obligate defendant Prime Insurance Company to authorize a disbursement of trust funds to plaintiff Wildfire Group LLC for the approximately $ 278,400.00 plaintiff Wildfire Group LLC contributed to the trust after December 9, 2011. (3) Plaintiff Wildfire Group LLC's 64 motion for partial summary judgment is denied in all other respects. (4) Defendant Prime Insurance Company's 67 motion for summary judgment is granted. (5) Judgment is entered in favor of defendant Prime Insurance Company and against plaintiff Wildfire Group LLC on its remaining claims, with plaintiff Wildfire Group LLC taking nothing by its remaining claims. Each party shall bear its own costs. The clerk of the court is DIRECTED to enter this document on the civil docket as a final judgment pursuant to Rule 58 of the Federal Rules of Civil Procedure.
