OPINION filed: We AFFIRM the district court’s orders granting partial summary judgment to defendants on the claim for equitable subordination and with respect to the state law claims arising from the failed sale process; but, because we GRANT plaintiff’s motion to certify a question of law [5174294-2], we RESERVE decision with respect to plaintiff’s appeal from the order granting partial summary judgment to defendants on Count 1 until after the Supreme Court of Ohio either answers or declines to answer the separately certified question of state law.
