For the reasons set forth in the attached, Carraro's motion to dismiss (ECF No. 16) is hereby DENIED and Terex's motion to dismiss (ECF No. 24) is hereby GRANTED. As set forth above, Carraro's second, fourth, eighth, ninth, and tenth counts are dismissed without prejudice. Carraro may file an amended counterclaim complaint repleading the dismissed claims within 30 days of the issuance of this order.
