OPINION AND ORDER: For the foregoing reasons, ACE's motion to dismiss and strike 63 is granted in part and denied in part. The portion of count III directed at ACE's indemnity obligation in connection with the Gibson case is dismissed without prejudice, but the motion to dismiss is otherwise denied as to count III. Counts IX and XII are dismissed with prejudice. ACE's motion to strike is denied to the extent Cushman seeks consequential damages in connection with count X, and granted to the extent Cushman seeks attorney's fees with respect to count X.
