MEMORANDUM & ORDER: For the reasons set forth in the attached, 54 Design Partners' motion for partial summary judgment is DENIED, and 52 Five Star's cross-motion for summary judgment is GRANTED as to Count 3 and DENIED in all other respects. In addition, Five Star is hereby directed to show cause within 21 days of the date of this opinion as to why summary judgment should not be granted to Design Partners on Count 5 for breach of the Training Contract in the sum of $8,000 and on Count 6 for breach of the non-solicitation provision of the MSA as to Wyllie. AMENDED MEMORANDUM AND ORDER: The attached Amended Memorandum and Order replaces, nunc pro tunc, the Court's 61 memorandum and order regarding the parties' cross-motions for summary judgment. This amended memorandum and order is identical to the Court's 61 memorandum and order in all respects, except, on page 28 of the memorandum, the phrase "Five Star's Ability To Prove Damages" has been corrected to state "Design Partners' Ability to Prove Damages."
