MEMORANDUM OF DECISION AND ORDER - For the reasons stated above, the Steelite Defendants' motion to dismiss Oneida's claims for misappropriation of trade secrets and unfair competition pursuant to Rule 12(b)(6) is denied in its entirety; the Tablewerks Defendants' motion to dismiss pursuant to Rule 12(b)(6) is granted and Oneida's claims for tortious interference with business relations against those Defendants is dismissed without prejudice with leave to replead within thirty days; Steelite Distribution's motion to intervene pursuant to Rule 24 is granted to the extent that it is entitled to permissive intervention; and Oneidas motion to amend its complaint pursuant to Rule 15 is granted except to the extent that it seeks to add claims against Steelite Distribution--as stated above, those claims must be brought as counterclaims. The Clerk of the Court is respectfully directed to amend the official caption to reflect the following: (see "Decision"). Oneida is directed to file an amended complaint within thirty days that complies with the dictates of this order; and if it wishes to do so, it may amend its claims for tortious interference with business relations against the Tablewerks Defendants.
