ORDER: For the reasons explained in the Memorandum entered contemporaneously herewith, Deft Prometheus Laboratories, Inc.'s 22 Motion to Dismiss is granted. Pltf's 33 Motion for Leave to Amend Complaint is denied as granting leave to amend the Complaint would be futile. This case is dismissed with prejudice.
